Terms of Service & Return Policy — EU / EEA Region (the “Terms”)

Applies to all orders fulfilled into the European Union and EEA (27 EU Member States plus Norway, Iceland, and Liechtenstein). For the purposes of these Terms, “Customer” means a person or entity acting in the course of trade, business, craft, or profession. These Terms apply exclusively to business-to-business (B2B) transactions and do not apply to consumer sales.

  • Trade returns (B2B): 25% restocking fee plus return shipping (waived for damaged, defective, or incorrect items).
  • Inspect on delivery: report visible damage within 72 hours; concealed damage within 48 hours of unpacking and no later than 7 days from delivery. Failing such notice, the goods shall be deemed accepted. Use, installation, assembly, resale, or other commercial use of the goods constitutes acceptance.
  • Lead times and delivery dates are estimates only and non-binding. Harbour shall not be responsible for delays occurring after transfer of risk under the applicable Incoterm, including delays relating to freight, carriers, customs clearance, or port operations.
  • Proof of purchase required (VAT invoice, packing slip, or order number). Returns must be in original condition within 30 days (B2B).
  • Returns are not accepted without Harbour’s prior written approval. Any approved return must be made in accordance with Harbour’s instructions and at the Customer’s cost and risk, unless the return arises from goods supplied in a damaged, defective, or non-conforming condition.
  • Approved returns must be in original condition and packaging, accompanied by the applicable invoice, packing slip, or order reference, and returned in accordance with Harbour’s instructions. Any refund or credit issued shall reflect the original commercial terms, including any applicable discounts or promotions.
  • Refunds issued per Special & Custom Orders (B2B). VAT refunded per applicable EU/Member State rules.
  • No exchanges for natural variation in wood, stone, marble, or fabric — these are inherent characteristics, not defects. Harbour shall not be liable for damage or defects arising from improper handling, storage, installation, assembly, maintenance, environmental exposure, misuse, normal wear and tear, or modification by the Customer or any third party.
  • Title to the goods shall remain with Harbour until all amounts due in respect of the relevant order have been paid in full in cleared funds.

Special and Custom Orders

A non-refundable 50% deposit is required at order placement. The Customer has a 24-hour window from order confirmation to make changes or cancel. After 24 hours, custom and special-order items cannot be cancelled, changed, returned, or refunded — production begins immediately. Remaining balance must be paid in full prior to shipment.

Order Cancellations

Cancellation accepted only for in-stock or backordered items not yet in production or shipment. Once production has started, an order cannot be cancelled. In-stock items typically ship within five business days. Custom and special-order items cannot be cancelled after the 24-hour change window. An order cannot be cancelled once shipped.

Claims

For FCA or customer-arranged carriage: The Customer shall inspect the goods at collection or upon handover to the carrier. Any visible shortages, damage, or packaging irregularities must be documented at that time. Concealed damage or discrepancies must be reported with photographs and supporting information within 48 hours of discovery and no later than 7 days after delivery to the final destination.

For Harbour-arranged delivery: Any visible damage must be noted on the carrier’s proof of delivery before signing. Concealed damage must be reported with photographs and supporting information within 48 hours of unpacking and no later than 7 days from delivery.

Risk of Loss & Shipping Terms

B2B Trade: The applicable Incoterm® 2020 shall be expressly stated on the relevant quotation and/or order confirmation. In the event of any inconsistency, the Incoterm specified on the order confirmation shall prevail for the purposes of determining delivery obligations, transfer of risk, customs responsibilities, taxes, duties, and related obligations.. Default (where unspecified) is FCA Vietnam factory; Customer is responsible for freight, marine insurance, EU customs clearance, duties, VAT, and inland delivery.

Payment Details

Payment is by SEPA Credit Transfer (EUR), UK bank transfer (GBP), or international SWIFT transfer (USD) to the relevant account below. On order confirmation a Harbour sales representative will issue a proforma invoice. Reference the quotation or order number on all transfers. Payer-side bank charges are the Customer's responsibility (charge code SHA for SEPA; OUR for SWIFT where requested).

VAT Exemption: Where applicable, supplies may qualify for intra-Community VAT treatment pursuant to Article 138 of Council Directive 2006/112/EC and applicable national legislation. Any VAT exemption, zero-rating, or reverse-charge treatment is subject to the Customer providing a valid VAT identification number and such verification, documentation, and conditions as may be required under applicable law. Harbour reserves the right to charge VAT where the relevant requirements for VAT-exempt treatment are not satisfied.

Currency & Pricing

Prices quoted in EUR unless otherwise stated on the invoice. Quotes valid 30 days; void once a referenced promotion ends. Currency conversion, where applicable, at the rate prevailing on the invoice date.

Payment Terms

B2B: 50% deposit on order placement (non-refundable for custom and special-order items, per Special and Custom Orders); balance due in cleared funds prior to shipment.

Late Payment

Harbour reserves the right to charge interest on overdue amounts at the maximum rate permitted by applicable law, together with reasonable recovery and enforcement costs.

Suspension

Harbour may suspend production, shipment, delivery, or performance of any order if payment is overdue or if the Customer breaches these Terms. Harbour shall not be liable for any resulting delay, cost, or loss.

No Set-Off

Payments must be made in full without deduction, withholding, counterclaim, or set-off. Any claim or dispute shall not entitle the Customer to delay or withhold payment.

Shipping & Delivery Options

  • FCA (Trade Clients): Customer collects from the named factory or warehouse, or arranges its own forwarder. Risk, delivery and customs responsibilities as per the agreed Incoterm. Title transfers only in accordance with these Terms.

Customs, Duty, VAT & EU Compliance

For orders supplied on FCA or other Incoterms under which the Customer acts as importer of record, the Customer is responsible for freight, marine insurance, customs clearance, import duties, VAT, and compliance with applicable import, product, packaging, environmental, and market-access requirements in the destination jurisdiction, including any applicable CE marking, REACH, EUDR, RoHS, GPSR, or related requirements. Where Harbour agrees to arrange importation, customs clearance, or last-mile delivery under DDP, DAP, or similar delivered Incoterms, Harbour shall be responsible only for those obligations expressly allocated to it under the agreed Incoterm and order confirmation. All Incoterms shall be interpreted in accordance with Incoterms® 2020 published by the International Chamber of Commerce.

Sanctions & Trade Compliance

The Customer shall comply with all applicable sanctions, export control, anti-bribery, anti-corruption, customs, and international trade laws and regulations. Goods may not be sold, exported, or re-exported, directly or indirectly, to any sanctioned country, territory, person, or entity. Harbour may refuse, suspend, or cancel any order or shipment where required for legal or compliance reasons and shall not be liable for any resulting delay or loss.

Data Protection & Privacy

Harbour processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (EU) 2016/679 ("GDPR") and any implementing or supplementary legislation. Personal data collected in connection with enquiries, orders, deliveries, customer support, account management, and related activities will be processed in accordance with Harbour's Privacy Policy and, where applicable, its Cookie Policy, each as amended from time to time and available on Harbour's website. By placing an order or otherwise engaging with Harbour, the Customer acknowledges that personal data may be processed for the purposes described in those policies. Where the Customer provides Harbour with personal data relating to its employees, representatives, or agents, the Customer shall ensure that it has provided any notices and obtained any consents required by applicable law.

Storage Policy

14 calendar days from ready-to-ship or in-region warehouse arrival to accept your order without storage fees. Thereafter, EUR (€) 25 per item per day. After 30 days, Harbour may return goods to its warehouse and refund less applicable return shipping, restocking, and storage charges. Schedule delivery within the 14-day window or contact Customer Service if you will be unavailable.

Warranty, Governing Law & Force Majeure

Governing Law & Disputes: These Terms are governed by the laws of the Republic of Malta. Disputes are subject to the exclusive jurisdiction of the courts of Malta.

Force Majeure: Harbour is not liable for delay or non-performance caused by events beyond its reasonable control, including but not limited to extreme weather, port closures, customs holds, public-health measures, government-mandated shutdowns, vessel space shortages, blank sailings, energy supply disruption, industrial action, or carrier/supplier force-majeure declarations.

Warranty: Any manufacturer warranty provided with the goods shall apply only in accordance with its own terms and conditions. Except as expressly stated in these Terms or any applicable manufacturer warranty, all implied warranties, conditions, and representations are excluded to the maximum extent permitted by law.

Limitation: To the maximum extent permitted by law, Harbour shall not be liable for any indirect, consequential, or economic loss, including loss of profit, revenue, business, or goodwill. Harbour’s total liability arising from any order shall not exceed the invoice value of the goods giving rise to the claim. Harbour shall not be liable for loss, damage, or delay occurring after transfer of risk under the applicable Incoterm. Nothing in these Terms shall exclude or limit liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded or limited under applicable law.

Agreement to Terms

Please confirm shipping address(es), phone number(s), and importer-of-record details on your order are correct. Quoted pricing is valid 30 days; promotional quotes void once the promotion ends.

  • These Terms, together with the applicable quotation, order confirmation, and agreed Incoterm, constitute the entire agreement between Harbour and the Customer and supersede all prior discussions, representations, correspondence, and understandings relating to the subject matter of the order.
  • The Customer may not assign, transfer, or otherwise dispose of any of its rights or obligations under these Terms without Harbour’s prior written consent. Harbour may assign or transfer its rights and obligations under these Terms to any affiliate or successor entity.
  • Any failure or delay by Harbour in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
  • If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
  • The Customer agrees to indemnify and hold harmless Harbour, its affiliates, officers, employees, and agents against claims, losses, or liabilities arising from the Customer’s breach of these Terms, misuse of the goods, or violation of applicable laws, except to the extent caused by Harbour’s gross negligence or wilful misconduct.
  • This document is legally binding. The Customer shall be deemed to have accepted these Terms by signing them, clicking "I Agree" or any equivalent electronic acceptance mechanism, issuing a purchase order, signing or accepting a quotation or order confirmation, paying a deposit, making any payment relating to an order, or otherwise placing an order for goods from Harbour.
